Atlas Tax Lawyers advised Cellnex Telecom S.A. and Deutsche Telekom Capital Partners on the merger of Deutsche Telekom’s tower business in the Netherlands with Cellnex Netherlands and the funding of a new Digital Infrastructure Vehicle

Our M&A team advised Cellnex Telecom S.A. (Cellnex) in the transaction whereby Cellnex and Deutsche Telekom A.G. (DTAG) combined their tower businesses in the Netherlands. Cellnex and DTAG jointly launched a newly established Digital Infrastructure Vehicle (DIV) fund, independently managed by Deutsche Telekom Capital Partners (DTCP), with a mandate to invest into European digital infrastructure assets (fiber, towers and data centers) and to promote digital infrastructure across Europe. Cellnex and DTAG will participate as cornerstone investors investing EUR 200 million and EUR 400 million in DIV respectively. Our M&A team acted as deal structuring advisor for Cellnex and DTCP in becoming the new joint venture partners on a 62% / 38% basis in the enlarged Cellnex Netherlands which with over 4,000 sites is now the leading independent tower operator in the Netherlands.
