Boudewijn Niels

Partner

Boudewijn is an M&A tax lawyer who heads the corporate/M&A team and is co-managing partner of Atlas. Boudewijn is an all-round tax lawyer with extensive knowledge in the field of Dutch corporate and personal income tax, real estate transfer tax and international tax. His areas of expertise include tax structuring, negotiating transactions and advising on the design of management incentive plans.

His clients are corporates with a strong presence in the Netherlands, Dutch and foreign private equity firms, and investors in Dutch companies and real estate and energy projects. He is frequently engaged by corporate law firms and private equity firms as their preferred external tax counsel on their transactions, where he provides a full range of deal advice, including tax due diligence, tax structuring, SPA negotiations and the design of management incentive plans

Boudewijn has recently been involved in:

  • The > EUR 1bn merger of T-Infra and Cellnex Netherlands in connection with the set up of DIV, a joint investment fund of DT and Cellnex
  • The acquisition by Egeria of Social Blue
  • The acquisition of Casa by Globitas

Boudewijn Niels entered the Chambers rankings in 2022 on the back of positive feedback with an interviewee reporting that he is “a pragmatic tax adviser with thorough knowledge and a pleasant approach towards clients and other advisers.”

Boudewijn studied Tax Law and Corporate Law at Leiden University, followed by the postgraduate course International and European Tax Law at the International Tax Center Leiden, and holds a BSc in Economics and Finance from the University of London / LSE. Boudewijn is admitted to the Amsterdam Bar and is a member of the Dutch Association of Tax Advisors (NOB).

He has registered the following principal (and secondary) legal practice areas in the Netherlands Bar’s register of legal practice areas (rechtsgebiedenregister):

  • Tax Law

Based on this registration, he is required to obtain ten training credits per calendar year in each registered principal legal practice area in accordance with the standards set by the Netherlands Bar.
